We enable businesses (“Merchants”) to:

• interact with customers

• accept bookings and orders

• process payments

• manage digital operations

4.1 No Participation in Transactions

The Lab Group is not a party to any transaction between a Merchant and its customer (“End User”).

4.2 No Merchant of Record

We do not:

• sell goods or services

• act as merchant of record

• control or guarantee fulfilment, quality, legality, or safety

All transactions are solely between Merchant and End User.

4.3 Platform Scope

Our Platforms may include:

• booking and reservation systems

• ordering and payment interfaces

• QR and NFC-triggered interactions

• guest management and check-in systems

• AI-powered assistants and automation tools

All such features are provided as tools only, not as underlying services.

For the avoidance of doubt, any investment-related activities carried out by The Lab Group or its affiliates fall outside the scope of these Platforms and are governed by separate documentation.

5. Merchant Responsibilities

If you use the Platforms to offer goods or services, you are solely responsible for:

• fulfilment of all orders and bookings

• accuracy of pricing, descriptions, and availability

• compliance with all applicable laws and regulations

• customer service and complaint handling

• refunds, cancellations, and dispute resolution

• chargebacks, fraud prevention, and financial compliance

You acknowledge that our Platforms may be used in real-world operational environments (including hospitality), and you remain solely responsible for their use in those contexts.

The Lab Group has no responsibility for disputes between Merchants and End Users.

6. Accounts and Security

You are responsible for:

• maintaining the confidentiality of your account credentials

• all activities conducted under your account

You must notify us immediately of any unauthorised access or security breach.

7. Payments and Financial Services

Certain Platforms (including payd.in) enable payment functionality.

7.1 Third-Party Processing

Payments are processed via third-party providers (such as Stripe or equivalent). The Lab Group does not:

• act as a bank or financial institution

• hold, safeguard, or control funds

• provide escrow or custody services

7.2 No Custody of Funds

Funds are transferred directly between payment providers and Merchants.

7.3 Merchant Responsibility

Merchants are solely responsible for:

• all transactions processed

• refunds, disputes, and chargebacks

• compliance with financial, tax, and regulatory obligations

7.4 Fees

We may charge service fees, which will be disclosed at the point of use or in pricing materials.

7.5 Fraud and Risk Management

We reserve the right to suspend, block, or review transactions or accounts where we reasonably suspect fraud, illegality, or risk.

8. Bookings, Orders, and Guest Interactions

Where our Platforms (including checked.in and booked.in) facilitate:

• bookings or reservations

• guest check-in or management

• orders or service requests

The Lab Group:

• is not a party to any booking, reservation, or order

• does not guarantee availability, accuracy, or fulfilment

• is not responsible for cancellations, overbookings, or service failures

All such matters are the sole responsibility of the Merchant.

9. AI and Automated Features

Certain Platforms (including hoobert.ai) provide AI-powered responses, recommendations, or automation.

You acknowledge and agree that:

• AI outputs may be inaccurate, incomplete, or inappropriate

• outputs do not constitute professional advice of any kind

• AI may rely on user-provided or third-party data

• outputs may vary and are not guaranteed

You remain solely responsible for verifying outputs and any decisions taken.

To the fullest extent permitted by law, The Lab Group accepts no liability for:

• reliance on AI outputs

• errors or omissions in AI-generated content

• any real-world consequences arising from AI use

10. Acceptable Use

You must not use the Platforms to:

• engage in unlawful, fraudulent, or misleading activity

• transmit or publish harmful, abusive, or illegal content

• send spam or unauthorised communications

• infringe intellectual property or privacy rights

• interfere with systems, networks, or security

• attempt unauthorised access or exploitation

11. Prohibited Activities

Our Platforms must not be used in connection with:

• copyright infringement or unauthorised content use

• unlawful messaging or unverified mailing lists

• hacking, system interference, or malicious activity

You are solely responsible for all content and actions conducted via your account.

You grant us a worldwide, non-exclusive, royalty-free licence to:

• use, host, store, reproduce, and display

• modify and create derivative works

for the purpose of operating and improving the Platforms.

You are responsible for compliance with applicable data protection laws, including UK GDPR.

Where applicable:

• you act as data controller

• we act as data processor

• our total liability is limited to the fees paid by you in the previous 12 months

We are not responsible for third-party websites linked from our Platforms.

24. Termination

We may suspend or terminate your access:

Upon termination:

• your right to use the Platforms ends immediately

Participation in any investment opportunity:

• is not governed by these Terms of Service
